Terms of Service - Coffee Cart HQ

1. Acceptance of Terms

By creating an account, accessing, or using Coffee Cart HQ ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. Your continued use of the Service following any changes to these Terms constitutes acceptance of those changes.

2. Description of Service

Coffee Cart HQ is a web-based business management platform designed for mobile coffee cart operators. The Service provides tools for event scheduling, expense tracking, profit reporting, and integration with third-party payment processors such as Square. The Service is provided on a subscription basis.

3. Account Registration

To use the Service, you must:

Be at least 18 years of age
Provide accurate and complete registration information
Maintain the security of your account credentials
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized use of your account

4. Subscription Plans and Pricing

Coffee Cart HQ offers the following subscription options:

Monthly Plan: $10 per month, billed monthly
Yearly Plan: $60 per year, billed annually
Lifetime Plan: $500 one-time payment for perpetual access

Each subscription is valid for a single company and a single Square account connection. If you operate multiple businesses or need to connect multiple Square accounts, a separate subscription is required for each.

Prices are subject to change with notice. Any price changes will not affect your current billing cycle.

5. Free Trial

New users on the Monthly Plan receive a 7-day free trial with access to up to 100 transactions. By starting a free trial, you authorize us to charge your payment method at the end of the trial period unless you cancel before the trial ends. You may cancel your trial at any time through your account settings. If you cancel during the trial period, you will not be charged.

6. Billing and Payment

By subscribing to the Service, you agree to the following:

Authorization: You authorize us to charge your designated payment method for the subscription fees at the intervals specified by your chosen plan.
Automatic Renewal: Subscriptions automatically renew at the end of each billing period (monthly or yearly) unless cancelled before the renewal date.
Payment Processing: Payments are processed securely through Stripe. By providing payment information, you represent that you are authorized to use the payment method.
Failed Payments: If a payment fails, we may retry the charge and/or suspend your access until payment is received.
Taxes: You are responsible for any applicable taxes on your subscription.

7. Refund Policy

All sales are final. No refunds will be issued. You may cancel your subscription at any time and retain access until the end of your current billing period. We encourage you to use the free trial to evaluate the Service before committing to a paid subscription.

8. Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

Your subscription will remain active until the end of the current billing period
You will not be charged for subsequent billing periods
You will retain access to your data until the end of your paid period
After your subscription ends, your account may be deactivated but your data will be retained for 30 days in case you wish to reactivate

9. Chargebacks and Disputes

You agree to contact us before initiating any chargeback or payment dispute with your bank or credit card company. We are committed to resolving any billing issues fairly and promptly.

By using the Service and making a payment, you acknowledge that:

You received access to the Service in exchange for your payment
You agreed to the subscription terms and pricing before completing your purchase
You will attempt to resolve any billing disputes directly with us before contacting your financial institution

If you initiate a chargeback without first contacting us, we reserve the right to suspend your account and pursue the disputed amount. Fraudulent chargebacks may result in permanent account termination and collection action for the amounts owed plus associated fees.

10. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose
Attempt to gain unauthorized access to the Service or its systems
Interfere with or disrupt the Service or servers
Share your account credentials with others
Use the Service to store or transmit malicious code
Reverse engineer or attempt to extract the source code of the Service
Resell or redistribute the Service without authorization

11. Intellectual Property

The Service, including its design, features, and content, is owned by Coffee Cart HQ and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for your business purposes. You retain ownership of all data you input into the Service.

12. Third-Party Integrations

The Service integrates with third-party services such as Square and Stripe. Your use of these integrations is subject to the respective third party's terms of service. We are not responsible for the availability, accuracy, or actions of third-party services.

Square Account Linking: When you connect a Square account to your company, that Square account becomes permanently linked to your company. If you disconnect and later reconnect Square, you may only reconnect to the same Square merchant account that was originally linked. You cannot switch to a different Square account. This restriction helps maintain data integrity and prevents misuse of the Service.

13. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to notify users of planned maintenance.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, COFFEE CART HQ SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.

16. Indemnification

You agree to indemnify and hold harmless Coffee Cart HQ and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from your use of the Service or violation of these Terms.

17. Modifications to Terms

We may modify these Terms at any time. We will notify you of material changes by email or through the Service. Your continued use of the Service after such notification constitutes acceptance of the modified Terms.

18. Termination

We may suspend or terminate your account if you violate these Terms or engage in fraudulent activity. Upon termination, your right to use the Service ceases immediately. Sections regarding payment obligations, limitation of liability, and indemnification survive termination.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction.
